These Terms of Service (“Terms”, “Agreement”) govern your access to and use of the Supercode mobile and web application (the “Service”) operated by Ministry of Trust, Inc. (“we”, “us”, “our”). By accessing or using the Service you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Description of Service

The Service means the Supercode platform, including its mobile and web applications, tools, websites, data, content, and any updates, enhancements, or new features. We reserve the right to modify, suspend or discontinue the Service (or any part thereof) at any time, with or without notice.

2. Account Registration & Eligibility

To use certain features of the Service, you may be required to register and provide information about yourself. You agree to (a) provide accurate, current, and complete information; (b) maintain and promptly update your account information; (c) keep your login credentials secure; and (d) accept responsibility for all activity under your account. We may refuse or terminate access if you don’t comply.

3. Subscriptions, Payments & Billing

If you subscribe to a paid tier of the Service, the following apply:

You agree to pay the subscription fees and any applicable taxes as described at the time you select the plan.

Payments may be billed in advance and are non-refundable unless explicitly noted.

We may change our subscription fees from time to time; your continued use constitutes acceptance of the new fees.

If you cancel a subscription, you will retain access until the end of the then-current billing period and your account will then revert to the free tier (if any) or be terminated.

4. Use Limits & Restrictions

You agree to use the Service only in compliance with these Terms and applicable laws. You will not, without our prior written consent:

Reverse engineer, decompile, or access the Service to attempt to discover its source code or internal structure.

Remove, obscure, or alter any proprietary notices on or in the Service.

Use the Service to store or transmit illegal, infringing, harmful, or abusive content.

Use the Service in a way that interferes with or disrupts the Service or its servers, or bypasses or disables security features.

Allow unauthorized third-party use of your account.

5. Your Data & Rights

All data you upload or generate via the Service (“Your Data”) remains your property. You grant us a non-exclusive, worldwide, royalty-free license to store, process, display, backup and otherwise use Your Data in order to provide the Service. You are responsible for the accuracy and legality of Your Data and for any consequences of sharing it.

6. Intellectual Property

The Service and all associated intellectual property (including software, design, text, graphics, logos, and trademarks) are owned by Ministry of Trust, Inc. or its licensors. Except as expressly permitted in these Terms, you may not copy, modify, distribute, sell or lease any part of the Service or access it other than via the interface provided.

7. Termination

We may suspend or terminate your account or access to the Service at our sole discretion, including if you breach these Terms, or for any reason with notice where required by law. Upon termination, your right to access the Service ceases, but provisions meant to survive (see below) remain in effect.

8. Disclaimers, Limitations of Liability & Warranties

THE SERVICE IS PROVIDED “AS-IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND AVAILABILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MINISTRY OF TRUST, INC. WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM UNDER THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE LAST 12 MONTHS.

9. Indemnification

You agree to defend, indemnify and hold harmless Ministry of Trust, Inc., its affiliates and their officers, directors, employees and agents from and against all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including attorney fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third-party.

10. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of the State of Texas. You agree that any disputes will be resolved in the state or federal courts located in Houston, Texas, and you consent to personal jurisdiction and venue in those courts.

11. Changes to Terms

We may modify these Terms at any time. If we make material changes, we will provide notice (for example, via email or in-app). If you continue using the Service after changes become effective, you agree to the revised Terms. If you do not agree to the changes, you must stop using the Service.

12. Miscellaneous

Entire Agreement: These Terms (and any referenced documents) constitute the entire agreement between you and Ministry of Trust, Inc. regarding the Service.

Severability: If any provision is invalid or unenforceable, the remaining provisions remain in effect.

Waiver: Failure to enforce any right is not a waiver of that right.

Assignment: You may not assign these Terms without our prior written consent. We may assign or transfer rights or obligations.
